C Spire Early Upgrade Program Terms and Conditions
Cellular South, Inc. doing business as C Spire (“C Spire,” “US” (also referred to below as “OUR” and/or “WE”) may offer eligible Customers purchasing a Smartphone Device under a Retail Installment Sales Agreement the ability to enroll in the C Spire Early Upgrade Program. YOU, meaning the Customer, accept and agree to be bound by these Terms and Conditions in writing, by email, online or in person by enrolling, using or paying for the Early Upgrade Program. Nothing in this Agreement shall be construed to modify any existing written or online agreements, policies or guidelines you may have with US, including, but not limited to the Privacy Policy and Customer Service Agreement.
YOUR Smartphone Devices may qualify for early upgrade under C Spire’s Early Upgrade program under an Installment Agreement with C Spire Early Upgrade Program, subject to the following:
(1) YOUR account is in good standing and have been actively enrolled in C Spire’s Early Upgrade Program for at least 180 days;
(2) YOU have made, or are credited via an eligible promotion, at least 50% of the TOTAL SALES PRICE on a C Spire Retail Installment Sales Agreement. Please be aware that YOUR payment of the Early Upgrade Charge does not apply to the AMOUNT FINANCED, TOTAL OF PAYMENTS, or 50% of TOTAL SALES PRICE on a Retail Installment Sales Agreement required to upgrade early;
(3) YOU timely return the Smartphone Device in good working and physical condition. If the Smartphone Device is not in good working and physical condition, YOU may not be eligible for certain device promotions offered and/or may receive certain credits based on the value of the Smartphone Device, and YOU may be responsible for remaining balance of charges under this Retail Installment Sales Agreement. Before returning the Smartphone Device, YOU will erase all personal and sensitive information. YOU must also return the Smartphone Device within the time designated by C SPIRE. If YOU do not return the Smartphone Device timely, YOU agree to pay the remaining balance of charges under this Retail Installment Sales Agreement. Please be aware that once YOU return the Smartphone Device under C Spire’s Early Upgrade Program, YOU will not get the Smartphone Device back and the return cannot be reversed.
YOU may cancel your enrollment in C Spire’s Early Upgrade Program at any time, but YOU will remain responsible for the Early Upgrade Program charge billed before your cancellation. Early Upgrade Program charges are non-refundable, and You must pay the remaining installment payments. Please be aware if YOU cancel your enrollment, you may no longer return the Smartphone Device as part of the Early Upgrade Program, YOU cannot re-enroll in the Early Upgrade Program, and YOU remain responsible for all remaining installments of your Retail Installment Sales Agreement. If YOU stop paying for the Early Upgrade Program but do not cancel your enrollment, YOU will remain responsible for payments until canceled. If YOU do not cancel your enrollment, but do not upgrade when eligible, YOU will remain responsible for C Spire Early Upgrade payments for the sooner of thirty-six (36) months or until the Retail Installment Sales Agreement is fulfilled. Smartphone Device return offers may be changed, canceled or terminated for any reason or no reason in C Spire’s sole discretion. When YOU make a successful Smartphone Device return under the Early Upgrade Program, WE will pay off or settle the remaining outstanding Retail Installment Sales Agreement balance for YOUR and/or any assignee of this Agreement’s benefit and will no future installment charges will be billed under the Retail Installment Sales Agreement and YOU will purchase an eligible Smartphone Device on an Eligible Retail Installment Sales Agreement with qualified wireless service for the upgraded Smartphone Device. In the unlikely event of a bankruptcy or other proceeding is instituted by or against C Spire, its affiliates or assignees of this agreement, YOU will be given notice and your ability to return a Smartphone Device will be terminated.
